Binding Legal Agreement
These Terms and Conditions constitute a legally binding agreement between you and Figment Ledger. By accessing our website, submitting inquiries, or engaging our professional services, you acknowledge that you have read, understood, and agree to be bound by these terms in their entirety.
These terms apply to all users of our website and clients of our services. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms. You agree to indemnify, defend, and hold harmless Figment Ledger, its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your breach of these terms, your violation of any laws or regulations, or your misuse of our services.
Liability and Warranties
1. Service Standards
We provide our services with professional care and competence in accordance with applicable accounting standards and industry practices. While we strive for accuracy and quality in all our work, we cannot guarantee specific outcomes or results from our services.
2. Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis. To the extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or meet your specific requirements.
3. Limitation of Liability
To the maximum extent permitted by law, Figment Ledger shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from your use of our services or inability to use our services.
4. Maximum Liability Cap
Our total liability to you for any claims arising out of or related to our services shall not exceed the fees paid by you to us for the specific services giving rise to the claim during the twelve months preceding the event that gave rise to liability.
5. Professional Liability Insurance
We maintain professional liability insurance as required by professional accounting standards. The scope and limits of this insurance are available upon request. However, this insurance does not modify or expand the liability limitations set forth in these terms.
6. Third-Party Actions
We are not responsible for the actions or omissions of third-party service providers, government agencies, or other parties involved in your business operations. While we may coordinate with such parties as part of our services, you acknowledge that we cannot control their actions or guarantee their performance.
7. Force Majeure
We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of nature, war, terrorism, strikes, pandemics, government actions, or failures of telecommunications or internet services.
Legal Information and Dispute Resolution
1. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of Victoria, Australia, without regard to its conflict of law provisions. Any legal action or proceeding arising under these terms shall be brought exclusively in the courts located in Melbourne, Victoria, and you consent to personal jurisdiction in such courts.
2. Dispute Resolution Process
In the event of any dispute arising from these terms or our services, you agree to first attempt to resolve the matter through good faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue mediation before initiating formal legal proceedings. Both parties agree to participate in mediation in good faith.
3. Arbitration Agreement
For disputes that cannot be resolved through negotiation or mediation, you agree that such disputes may be submitted to binding arbitration in accordance with the rules of the Australian Centre for International Commercial Arbitration. The arbitration shall take place in Melbourne, Victoria, and shall be conducted in English.
4. Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
5. Severability
If any provision of these Terms and Conditions is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these terms and shall not affect the validity and enforceability of the remaining provisions. The invalid or unenforceable provision shall be replaced with a valid and enforceable provision that most closely matches the intent of the original provision.
6. Entire Agreement
These Terms and Conditions, together with our Privacy Policy and any specific engagement letters or service agreements, constitute the entire agreement between you and Figment Ledger regarding your use of our services and supersede all prior agreements, understandings, and communications, whether written or oral.
7. Modification of Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website unless otherwise specified. Material changes affecting existing service engagements will be communicated to you directly. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.
8. Assignment
You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations under these terms to any successor or affiliate without restriction. Any attempted assignment in violation of this provision shall be void.
9. Waiver
Our failure to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
